Channel Partner Commercial Disclaimer

1. Nature of the Onboarding & Enablement Fee

The onboarding fees for Associate Partner (₹11,000), Growth Partner (₹21,000), and Strategic Partner (₹41,000) are strictly one-time fees for account onboarding, identity/business verification, sales collateral kit provisioning, technical pre-sales training, and platform maintenance.

Partner onboarding does not guarantee leads, clients, revenue, return on investment, or project allocation. Business opportunities are entirely contingent upon client requirements, technical qualification, market demand, and EthicsComputer's commercial policies.

2. Strict Anti-MLM & Non-Recruitment Guarantee

The EthicsComputer Partner Network is a legitimate corporate B2B channel distribution ecosystem. Zero commission, compensation, bonus, or referral fee is ever paid for introducing, recruiting, or onboarding another partner. Commissions are generated solely and exclusively through direct project origination and delivery of verified IT, software, AI, and cybersecurity services to bona fide third-party enterprise clients.

3. Independent Channel Partner Relationship

The Channel Partner is an independent contractor and is NOT an employee, agent, joint venturer, partner (in a partnership sense), or franchisee of EthicsComputer. Partners are strictly prohibited from representing themselves as employees, officers, or authorized signatory agents of EthicsComputer.

4. Commission Eligibility & Net Service Value Calculations

Partner commissions are calculated exclusively upon cleared funds actually received by EthicsComputer from the end client. Commissions are not calculated on gross invoice totals or invoiced amounts prior to full realization.

All calculations exclude statutory Goods and Services Tax (GST), payment gateway fees, and non-commissionable direct third-party pass-through expenses (such as domain registrations, SSL certificates, cloud compute, third-party software licenses, or hardware purchases).

5. Lead Protection & Exclusivity Policy

Upon successful duplicate verification, registered leads receive an exclusive 45-day Deal Protection window. If the submitting partner is not actively collaborating, scheduling client meetings, or advancing milestones within the protection timeframe, EthicsComputer reserves the right to release or reassign the account to prevent commercial abandonment.

6. Intellectual Property & Contractual Authority

All Master Service Agreements (MSAs), contracts, and work orders are entered into directly between EthicsComputer and the client. EthicsComputer retains 100% ownership of all developed source code, algorithms, architectures, and intellectual property unless explicitly transferred under formal MSA terms.

7. Tax Compliance (TDS)

All commission remittances are executed through official banking channels with mandatory Tax Deducted at Source (TDS) under Section 194H of the Indian Income Tax Act. Partners must provide valid PAN and banking credentials prior to payout disbursement.
